These Terms & Conditions ("Terms") govern your use of Firma, (1600 Holdings LLC), ("Firma," "we," "us" or "our"), e-signature API and related services ("Service"). By purchasing credits or using the Service, you agree to these Terms.

1. Definitions

  • Customer: A business entity that purchases and uses credits to access the Service.

  • End User: An individual who signs documents via a Customer's integration.

  • Credits: Units you purchase to consume Service features (e.g. creating envelopes, requesting signatures).

  • Automatic Top-Up: A configuration by which we automatically bill you for additional Credits when your balance falls below a threshold.


2. Credit Purchasing & Pricing

  1. Credit Pricing:

    Base price is quoted in USD. Other currencies may be offered at checkout, with the exchange rate fixed at the time of purchase.

  2. No Expiration:

    Credits do not expire and remain in your account until used.

  3. Automatic Top-Up (Optional):

    You may enable Automatic Top-Up to purchase additional Credits once your balance falls below your configured threshold.

  4. Invoices & Currency:

    All invoices display USD as base currency and, if applicable, the local currency equivalent at the fixed purchase-time rate.


3. Service Suspension & Reactivation

  1. Immediate Suspension:

    If your Credit balance reaches zero, your access to the Service is suspended immediately.

  2. Reactivation:

    Service resumes automatically once you purchase additional Credits.


4. Refund Policy

  • Purchase Errors:

    You have 3 calendar days from the purchase date to request a refund for mistaken purchases.

  • Limitation:

    No other refunds (including for unused Credits) are available beyond this 3-day window.


5. Term & Termination

  1. Term:

    These Terms begin on the Effective Date and continue until terminated.

  2. Termination for Non-Payment:

    We may terminate or suspend your Service immediately if you fail to purchase Credits or pay any amounts due.

  3. Termination for Cause:

    Either party may terminate if the other materially breaches these Terms and fails to cure within 30 days of written notice.

  4. Effect of Termination:

    All unpaid invoices become immediately due. You forfeit any remaining Credits if we terminate for your breach.


6. Governing Law

  • These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

  • Any dispute arising under these Terms will be resolved in the federal or state courts located in Delaware.


7. Changes to Terms

We may update these Terms from time to time. We will post changes here and update the "Effective Date." Continued use of the Service after changes constitutes acceptance.

9. Signer Terms and Legal Effect

9.1 Scope

This section applies to any individual who views, reviews, or electronically signs a document (“Signer”) through Firma’s Service, whether via a direct link or a Customer integration. Signers are not required to create a Firma account.

9.2 Role of Firma

Firma provides the technology platform that enables Customers to prepare, send, and manage electronic-signature workflows. Firma is not a party to any document or transaction facilitated through its Service. Firma does not verify, review, or endorse the content, legality, or enforceability of any document sent through the Service.

9.3 Legal Effect of Electronic Signatures

Firma’s Service is designed to support the creation of legally effective electronic signatures and records. The legal enforceability of any signed document is determined by the parties and applicable law. Firma does not guarantee that any particular document or signature will be legally binding in all jurisdictions or for all use cases.

9.4 Signer Consent

By signing or otherwise indicating agreement through Firma’s interface, you:

  • Consent to conduct business electronically.

  • Acknowledge that your electronic signature carries the same legal effect as a handwritten signature, where permitted by law.

  • Agree that Firma may retain a digital record of your signing activity (for example, timestamp, IP address, and signature event data) for audit and security purposes.

9.5 Privacy

Firma processes signer data on behalf of its Customers as a data processor, solely for the purpose of delivering the e-signature Service. Details about data handling and retention are described in Firma’s Privacy Policy.

9.6 Disclaimers and Limitations

Firma is not responsible for:

  • The content, accuracy, or legality of documents sent by Customers;

  • The authenticity or identity of any signer or participant; or

  • Any disputes between Customers, Signers, or third parties arising from a document or transaction.

Firma’s liability to Signers is limited to the maximum extent permitted by law.

9.7 Notices for Signers

If you have questions about a document you are asked to sign, please contact the sender directly. Firma cannot alter, cancel, or provide copies of documents sent through the Service except as required by law.
